Capsule to inform the entrepreneur about the legislation that must be taken into account during the business idea creation process: from choosing the legal formula for implementing it to knowing which aspects of intellectual and industrial property protection affect their products, the legislation they must comply with if their business is promoted on the internet and which requirements must be taken into account to protect their users' or customers' personal data.

This capsule is part of Guidance in the entrepreneurial process program with other programmes  previously offered by Hubbik: Business Idea Generation and Maturing, Communication for Entrepreneursand Funding Entrepreneurial Projects.

  • Facilitate the materialization of the business idea in a specific legal form.
  • Explain the main funding sources that are available to the company in its start-up phase and what legislation must be taken into account.
  • Know the legislation that is applicable to the entrepreneur's business idea in all aspects of the project: investment partners, marketing, production, etc.
  • Have a global vision of all the legislation applicable to a company.

Research staff and entrepreneurs working at the UOC who have a business idea that could be transformed into a business option.

Theoretical training animated with video presentations that help give concrete form to each module's content. At the end of the course, a questionnaire is completed to verify the knowledge attained .

The training programme is structured in six modules that answer the main doubts that may arise with respect to legal aspects when starting a business enterprise.

Module 1. Legal formalities and legal forms when starting a business enterprise
Explanation of the various legal forms available for starting a business enterprise. Advantages and disadvantages, depending on the enterprise's foreseeable evolution: third-party liability, formal obligations, cost (both in time and money), possibility of employing workers, tax obligations, etc.

Module 2. Funding options
Ways of obtaining financial solvency, depending on the project's current stage of development. Main forms of funding by capital or debt.

Module 3. Partners' agreement
How the inclusion of partners in the project is managed:

  • When and how.
  • Writing the partners' agreement.
  • Formalizing the withdrawal of partners from the project.

Module 4. Legislation affecting ICT and e-commerce projects
What must I do if I want to advertise or market products or services via the internet? What are my obligations as owner of a corporate website? Is it obligatory to have a privacy policy, a legal notice or a cookie policy?

Module 5. Intellectual and industrial property
Protection of ideas and products. Different forms of protection. Licences.

Module 6. Compliance
Compliance with all the regulations applicable to the company, without limitation:

  • Tax
  • Corporate / contracting (contract management system)
  • Competition / antitrust
  • Labour, human resources, fundamental rights
  • Occupational health and safety (OHAS)
  • Environment (ISO 14000)
  • Prevention of money laundering (Law 10/2010)
  • Administrative law. Public contracting
  • Personal data protection (LOPD)
  • Information security (LSSI, ISO 27000)
